Asset Reunification Programme with Georgeson

Standard Chartered PLC (the Company) has engaged Georgeson (a trading name of Computershare Investor Services PLC, the Company’s Registrar), to locate and unite gone-away and lost shareholders with their dividends and/ or shares.

Georgeson’s services are voluntary and as such you may contact our Registrar directly.

If you are contacted, it is important that you respond to Georgeson or Computershare in order to claim your dividend and/ or shares. In accordance with the Company’s Articles of Association, we intend to launch a programme to sell shares of those shareholders who we have been unable to contact for at least 12 years. The proceeds from the sale of shares and unclaimed cash entitlements would be used to support such good causes as the Company’s directors may decide.

Where can I view dividend payment information and timetables?

Information relating to the options available for receiving your cash dividend, the arrangements for calculating and paying the cash dividend, and dividend history are set out at dividends and shareholder information.

Do you offer a scrip or drip dividend as well as a cash dividend?

We currently offer a cash only dividend option.

Can my dividends be paid directly into my bank account?

Yes, we actively encourage shareholders to receive dividend payments directly into their bank account, this prevents any postal delay, risk of loss or having to visit your bank or building society to deposit cheques The dividend currency must match the country where the payee account is registered.

UK shareholders can register UK bank details online by visiting investorcentre.co.uk or by completing the form sent to you with your dividend documents and returning it to our registrar using the reply envelope provided.

Hong Kong registered shareholders are encouraged to have their cash dividend in Hong Kong dollars paid directly into a Hong Kong dollars bank account. Our registrar can arrange this for Hong Kong registered shareholders, provided their accounts are held with a bank in Hong Kong. This ensures shareholders receive their dividend promptly and securely. Why don’t you offer dividend payments in euros?

We regularly review our dividend policy and believe that the currencies we currently offer to pay cash dividends best suit the needs of our shareholders.

What currencies do you offer to pay cash dividends?

We offer a choice of pound sterling, Hong Kong dollars or US dollars.

If you are a UK registered shareholder, you will automatically receive your cash dividend in sterling, unless you have a standing instruction in place to receive it in another currency.

Hong Kong registered shareholders will automatically receive their cash dividend in Hong Kong dollars, unless they have a standing instruction in place to receive it in another currency.

The options available for receiving your cash dividend and the arrangements for calculating and paying the cash dividend are set out at sc.com/shareholders.

When are dividends paid?

We usually pay our dividends in May and September. Details of the exact dates should a dividend be declared are sent to shareholders nearer the time and are also set out at dividends and shareholder information.

Our official accounting currency is in US dollars. This is because most of our business is carried out in US dollars or currencies linked to the US dollar.

We continue to receive reports of share scams, where fraudsters cold-call investors offering a range of financial propositions. Standard Chartered would like to remind shareholders to always remain vigilant and if you are in any doubt, or have any concerns, please contact our registrar, Computershare.

How can I get a copy of your annual report?

Shareholders are typically sent an electronic copy of the annual report. A hard copy is available to those shareholders whose preferences are set to receive one. You can also view the annual report online at our Quarterly & Annual Financial Results page.

Do you have shareholder meetings?

Yes, shareholders will be invited to attend our AGM every year. If there’s a particularly important matter that can’t wait until the next AGM, shareholders may be called to an Extraordinary General Meeting.

What if I am unable to attend the Annual General Meeting (AGM)?

If you are an ordinary shareholder and are unable to attend the AGM in person, you can still get your views heard by appointing one or more proxy(ies) to exercise all or any of your rights to attend and to speak and vote on your behalf. You can also use the form to appoint the AGM Chair to cast your proxy vote in the way you want, or to vote on your behalf at their discretion.

If shares are registered in your name, you’ll be sent a proxy form before the meeting to complete and return to our registrar, allowing you to vote for or against each of the items (also called ‘resolutions’) on the agenda.

Alternatively, you can appoint proxy (ies) via the following methods:

  • Electronic proxy – shareholders on the UK register or Hong Kong branch register of members may submit proxy forms electronically. You can appoint your proxy at www.investorcentre.co.uk/eproxy. You will need the Control Number, your Shareholder Reference Number (SRN), and Personal Identification Number (PIN), which are stated on the accompanying proxy form, voting instruction form or email notification if you receive your communications electronically, to access the service.
  • CREST voting – if you are a shareholder on the UK register and a member of CREST you can use the CREST electronic proxy appointment service.
Can I attend and vote at the AGM if my shares are held via a nominee?

What happens at the AGM?

The AGM reviews Standard Chartered’s performance over the past year and gives shareholders the opportunity to ask questions and vote on key issues. These include the approval of the annual report and accounts, the remuneration report, and the election of directors and auditors. There may also be special issues to vote on.

Shareholders can ask questions relating to the business being dealt with at the meeting.
